Terms of Service

1. Agreement to Terms

By accessing or using the Wilcoe website (wilcoe.com) and any related services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not access our website or engage our services.

2. Services

Wilcoe provides marketing strategy, brand positioning, demand generation, and related consulting services for businesses. The specific scope, deliverables, timeline, and fees for any engagement will be defined in a separate Statement of Work (SOW) or service agreement signed by both parties.

3. Client Responsibilities

Clients agree to provide timely access to information, assets, and approvals necessary for Wilcoe to perform the agreed-upon services. Delays caused by the client may result in adjusted timelines and, where applicable, additional fees as outlined in the relevant SOW.

4. Payment Terms

Payment terms, including fees, billing schedule, and accepted methods, will be specified in each engagement's SOW. Unless otherwise agreed, invoices are due within 30 days of receipt. Wilcoe reserves the right to pause work on overdue accounts.

5. Termination

Either party may terminate an engagement with 30 days' written notice. Upon termination, the client is responsible for payment of all services rendered through the termination date. Any pre-paid but undelivered services will be refunded on a pro-rata basis, less any costs already incurred.

6. Limitation of Liability

Wilcoe's total liability for any claim arising from an engagement shall not exceed the total fees paid by the client for that engagement during the 12 months preceding the claim. Wilcoe shall not be liable for any indirect, incidental, consequential, or punitive damages, including lost revenue, lost profits, or loss of business opportunity.

7. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

  • Project details: budget range, project descriptions, and service preferences shared through our inquiry forms.

Where third-party assets (stock photography, fonts, plugins) are used in client deliverables, licensing terms and any associated costs will be disclosed and agreed upon in the SOW. Clients are responsible for maintaining valid licenses for third-party assets after project completion.

4. Restrictions

You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any content from this website without prior written consent from Wilcoe.
